Crocs Club Loyalty Program Rules

(Updated as of May 19, 2015)

The Crocs Club Loyalty Program (the “Program”) is sponsored by Crocs, Inc. (“Crocs”). The Program is designed to recognize our loyal customers through rewards and benefits for customers who join the Program. In order to take advantage of Program rewards and benefits, you must agree to the terms and conditions for the Program which are set forth in these Crocs Club Loyalty Program Rules (these “Program Rules”). By joining the Program, you agree to these Program Rules.

We may change these Program Rules; change, add, or eliminate Program rewards or benefits, or participating locations; or change or end the Program or any feature of the Program; in whole or in part, at any time, and without notice or compensation, even though such actions may affect rewards or benefits in the Program or your participation in the Program.

Eligibility

In order to enroll as a member of the Program, you must be a legal resident of the fifty (50) United States, the District of Columbia or Puerto Rico who is at least thirteen (13) years of age at the time of enrollment, and have an active email address. See our www.crocs.com/CrocsClub (the “Program Website”). Completely fill out the online registration form, including by providing an active email address and all other required information, and submit the registration form in accordance with the on-screen instructions. Once you have registered online through the Program Website, you will receive a Program confirmation email that will be sent to the email address you used to register, and you will then be eligible to start participating in the Program, including earning points towards rewards, and receiving special Program offers. Program membership is part of a promotional program, has no cash value, and is not a gift card or a credit card. A member is eligible for one (1) Program membership only. If a member is found to have multiple memberships in the Program, we may cancel your memberships and participation in the Program, and you will forfeit all points, rewards and benefits. We do not anticipate having to limit the number of people that can enroll in the Program, but we reserve the right to do so. We reserve the right in our sole discretion to deny membership to anyone for any reason. There are no membership fees associated with the Program, and no purchase is required to enroll in the Program. Program information we choose to send directly to you, including rewards and special offer information, will be sent to the email address you used to register, which you may change as described below. Your Program email address will also be used by you as your Program identification when participating in the Program, including making purchases to earn points in the Program, and redeeming Program rewards and offers. To change your profile information, visit the Program Website and follow the update instructions. We are not responsible for the failure of members to receive Program information, or to receive or participate in offers, rewards or benefits due to a member’s incorrect information.

Benefits of the Program

As a member of the Program, you can earn rewards by logging on as a Program member at the time of making purchases online at the Crocs website at www.crocs.com, or by providing your Program email address to a sales associate at the time of making payment for purchases at participating Crocs retail locations. All rewards, and the terms and conditions of each reward, are determined by us in our sole discretion. Each specific reward may have different terms and conditions, including requirements regarding how to earn the reward, how to redeem the reward, expiration of the reward, and other terms and conditions applicable to the reward. Requirements for earning a reward may include requirements such as, without limitation, number of visits online or to a participating location with an eligible purchase, types of eligible purchases, eligible purchase amounts (i.e., the amount you spend on your purchase (excluding sales tax and other items we provide are excluded), as well as other requirements predetermined by us for specific rewards. You can track points you have earned toward Program rewards by logging into your Program account at the Program Website and entering your Program email address and password which you create for your account. Note that there is at least a seventy-two (72) hour delay in posting points associated with eligible Program purchases.

As a member of the Program, you may also be eligible for various benefits we chose to make available to some or all members. These additional benefits are subject to change, and may require members to qualify or otherwise be eligible before they can participate in the benefit. An additional benefit will be subject to terms, conditions, limitations and restrictions related to the benefit, which benefit and the related terms, conditions, limitations and restrictions thereof will be communicated to you by us in a manner that we determine (which may, but is not required to, include an email to your Program email address and/or posting on your Program membership account page).

Program Rewards

Earning Rewards:

You can earn rewards by logging on as a Program member at the time of making purchases online at the Crocs website at www.crocs.com, or by providing your Program email address to a sales associate at the time of making payment for purchases at participating Crocs retail locations.

You may earn rewards such as:

  • Frequent Purchaser Rewards. You can earn a Crocs reward code with a value of up to $15 for your next purchase that is at least $50 (merchandise purchase value only). Your reward code may be redeemed online at www.crocs.com or at participating Crocs retail and outlet locations.
  • Other special promotional offers. Such offers may or may not have requirements to earn such rewards, and will be communicated to you in such manner as determined by us in our discretion.

NOTE: Rewards are subject to change, addition or elimination, and are described in more detail below and/or in the correspondence from us describing the reward (for example, in an email providing a Crocs reward code to you).

We will attempt to credit your account with eligible purchases made and rewards earned on a timely basis. However, each member will have the responsibility of ensuring that the member’s eligible purchases and rewards are properly credited. Any claim for purchases not credited accurately must be received by us within thirty (30) days of the date of the claimed purchase. We reserve the right to require proof of purchase. We reserve the right to delay the processing or redemption of rewards without notice to you in order to assure compliance with these Program Rules. No credit will be given for purchases by a member prior to the member registering for and being accepted to the Crocs Club loyalty program.

Points for retail purchases at Crocs retail locations in California and Massachusetts are not automatically posted to your program account, and in order to receive credit for such purchases you must enter your transaction information from your receipt into your program account at www.crocs.com/CrocsClub.

Redeeming Program Rewards:

Where Rewards Are Provided as a Crocs Reward Code

To redeem earned and valid Program rewards where the reward is provided in the form of a Crocs reward code, provide your reward code online at the Crocs website at www.crocs.com or to a sales associate at participating Crocs retail or outlet locations when prompted or asked in connection with the redemption of a specific reward. Reward codes may be used only by the member to whom the reward code was issued. We reserve the right to verify in a manner determined by us that the person redeeming a reward code is the person associated with the Program membership and reward. Reward codes may be redeemed for merchandise purchases only, and only online at the Crocs website at www.crocs.com or at participating Crocs retail or outlet locations. Reward codes cannot be used for gift card purchases or applied to a prior purchase. If you return merchandise purchased in a transaction where a reward code was used, whether for an exchange or refund, all or a portion of the value associated with the reward code may be lost and forfeited. Reward codes earned by a Program member will be sent by Crocs or its designee by email to the member’s Program email address. REWARD CODES ARE PROMOTIONAL ONLY AND NOT ISSUED FOR ANY PAYMENT BY A MEMBER. REWARD CODES EXPIRE SIXTEY (60) DAYS FROM THE DATE OF ISSUANCE. REWARD CODES MAY BE USED ONE (1) TIME ONLY AND ONLY IN ONE (1) SINGLE ELIGIBLE TRANSACTION; ANY UNUSED PORTION OF A REWARD CODE IS FORFEITED. ADDITIONAL TERMS, CONDITIONS, LIMITATIONS AND RESTRICTIONS MAY APPLY TO REWARD CODES AND BE DISCLOSED ON THE EMAIL TRANSMITTING THE REWARD CODE. REWARD CODES ARE NONTRANSFERABLE AND NONASSIGNABLE, HAVE NO CASH VALUE, AND ARE NOT REDEEMABLE FOR CASH OR ANY SUBSTITUTE. WE ARE NOT RESPONSIBLE FOR, AND WILL NOT REPLACE, LOST, STOLEN OR MISDIRECTED REWARD CODES. WE ARE NOT RESPONSIBLE FOR THE USE OF REWARD CODES BY A PERSON OTHER THAN THE MEMBER OTHERWISE ENTITLED TO THE REWARD CODE. Reward codes may be subject to additional terms, conditions, limitations and restrictions (for example, restrictions regarding use for specific types of merchandise), which additional terms, conditions, limitations and restrictions, if any, will be set forth in these Program Rules, on the reward code or communication from us transmitting the reward code.

Where Rewards Are Not Provided as a Crocs Rewards Code

To redeem earned and valid Program rewards where the reward is not provided in the form of a Crocs reward code, see the email or other materials communicating the reward to you for the terms, conditions, limitations and restrictions of the reward, including redemption instructions and restrictions, expiration date, and other applicable information.

Reward Value; Combining Rewards

Rewards have no cash value, and are not redeemable for cash or any substitute. Frequent Purchaser Rewards may be combined with any other eligible offer, coupon or promotion (other than another Frequent Purchaser Reward), subject to the terms and conditions of such other offer, coupon or promotion. Unless we expressly provide otherwise, all other promotional offers received through the Program, including other rewards and benefits, cannot be combined with any other offer, coupon or promotion, including any other promotional offers received by a member through the Program. Rewards cannot be used for gift card purchases or applied to a prior purchase.

Tracking Your Points

You can track points you have earned for the current Program Period (as defined below) toward your Frequent Purchaser Reward by logging into your Program account at the Program Website and entering your Program email address and password which you create for your account. Note that there is at least a seventy-two (72) hour delay in posting points associated with eligible Program purchases. Additionally, sales associates in participating Crocs retail locations will, upon request, check your Frequent Purchaser Reward points balance for the current Program Period and any recent qualifying transactions made with respect to your Program membership.

Reward Information:

As of the date of these Program Rules, the only ongoing Program reward is the Frequent Purchaser Reward described below.

Ongoing Frequent Purchaser Reward: Earn and Redeem Crocs Reward Codes

  • During a six (6) month period of each year (a “Program Period;” which periods are January 1 – June 30 and July 1 – December 31), a member may earn points as described below for the total U.S. Dollar value (as described below) of eligible purchases during the applicable Program Period.
  • Eligible purchases which qualify for earning points for the Frequent Purchaser Reward are any merchandise purchases made and fully paid for by a member at the Crocs website at www.crocs.com or at participating Crocs retail locations during the applicable Program Period.
  • The U.S. Dollar value of an eligible purchase is only the dollar amount of the eligible purchase actually and fully paid for by the member at the time of an eligible purchase, and does not include (1) sales taxes and other taxes and assessments imposed by a taxing or similar authority upon the purchase, (2) postage, shipping, handling, wrapping, credit card and similar charges, fees and costs, (3) returns, refunds or exchanges, (4) transactions that are cancelled, (5) credit card chargebacks, (6) uncollectible amounts, and (7) discounts, markdowns, promotional allowances and other amounts that are not actually paid by the member. We reserve the right to adjust and restate your Program points and account for any points or rewards that are erroneously credited to you, including, without limitation, by adjusting points and/or cancelling rewards and benefits.
  • For each one U.S. Dollar value ($1.00) of an eligible purchase a member will earn one (1) point for the Frequent Purchaser Reward. For purposes of point accumulation, an eligible purchase value will be rounded up to the next Dollar if the partial Dollar value of the purchase is fifty Cents ($0.50) or more.
  • Purchases on certain dates by members (as may be communicated to members by us from time to time in such manner as we determine) will be eligible for double and triple points (e.g., on double points days, for each $1 of an eligible purchase, a member will earn two (2) points for the frequent purchaser reward). Double points and triple points may also have additional terms and conditions (e.g., points may only be earned with respect to purchases of certain styles of shoes or only if a certain amount is spent on a certain style of shoe, etc.).
  • Based on a member’s purchases and points earned during a specific Program Period, a member will earn the following Frequent Purchaser Reward. The maximum Frequent Purchaser Reward that can be earned by a member during a Program Period is $15.

*Even if a member earns more than 100 points in a Program Period, the maximum Frequent Purchaser Reward for such Program Period that will be issued to the member is $15.

  • Frequent Purchaser Rewards will be issued by Crocs approximately fifteen (15) days after the end of a Program Period with respect to purchases and points earned by a member in such Program Period.
  • Frequent Purchaser Rewards will be issued in the form of a Crocs reward code which will be sent by Crocs or its designee by email to the member’s Program email address.
  • Subject to these Program Rules, Frequent Purchaser Rewards may only be redeemed while the reward code is valid and unexpired, and may only be used in a single eligible transaction where the aggregate purchase price of all eligible purchased merchandise (excluding taxes, shipping and other fees, costs or assessments) is at least $50. For example, if the purchase price of all merchandise in a single transaction for which a reward code for a Frequent Purchaser Reward may be used is $75, the full amount of the reward code ($15) may be used reducing the merchandise purchase price to $60, on which taxes, shipping and other costs and fees, and the availability of additional applicable offers (e.g., shipping discounts), would be based and applied.
  • LIMIT: One (1) Frequent Purchaser Reward per member per Program Period.

Other special promotional offers available throughout the year:

  • Throughout the year, we may send you special offers. These offers are subject to change, and may require members to qualify before they can earn and/or redeem the offer. Such offers may or may not have requirements to earn such rewards, and will be communicated to you in a manner that we determine (which may, but is not required to include, email to your Program email address and/or posting on your Program account page on the Program Website). The terms, conditions, limitations and restrictions applicable to a particular offer will be as stated on the notification of the offer (e.g., on an email) and/or on the offer itself (e.g., a coupon).

Limits and Restrictions:

  • Points for retail purchases at Crocs retail locations in California and Massachusetts are not automatically posted to your program account, and in order to receive credit for such purchases you must enter your transaction information from your receipt into your program account at www.crocs.com/CrocsClub.
  • Additional limits and restrictions apply, including, without limitation, as described in “Redeeming Program Rewards” above and “Restrictions” below.

Program Guidelines

In addition to the other terms and conditions of these Program Rules, the following guidelines apply:

  • One (1) Program membership per person.
  • Maximum of one (1) Frequent Purchaser Reward per member per Program Period.
  • You must keep your Program account details and information current, including your Program email address, to ensure you receive information, rewards and offers regarding your Program membership, and that your participation in the Program is properly credited to your account. To change your profile information, visit the Program Website and follow the update instructions. We are not responsible for the failure of members to receive Program information, or to receive or participate in offers, rewards or benefits due to a member’s incorrect information.

Privacy

We will use the information you provide us in the manner described in our Privacy Policy. If we revise our Privacy Policy, then the Program Rules will automatically refer to the revised Privacy Policy, and your continued participation in the Program indicates your acceptance of the revised Privacy Policy.

You will need your Program email address and password to access your member account. If someone does learn your password, then you accept full responsibility for any actions that person takes using your password.

Changes to the Program or Rewards

We have the right at any time, in whole or in part, with or without giving you prior notice, to:

  • change these Program Rules;
  • end the Program and/or any specific Program reward or benefit;
  • change, add or eliminate Crocs websites or any participating Crocs retail or outlet locations;
  • change, add or eliminate any Program reward or benefit;
  • change any requirements for earning a particular Program reward or benefit;
  • change the time you have in which to earn a particular reward or benefit; and
  • change any other feature of the Program.

The foregoing actions may be taken even though such actions may affect rewards or benefits in the Program or your participation in the Program. If we decide to end the Program or a specific reward, we will provide you 90 days’ notice either by emailing you at the email address listed on your account details page or by posting a notice on the Program Website. Rewards will cease being earned after such notice is provided; however, earned rewards may continue to be redeemed during such 90 day period (and not later than the end of such 90 day period), subject to earlier expiration of an applicable reward pursuant to its terms. Rewards accumulated under the Program have no cash value, and upon termination of the Program or a specific reward, rewards earned but not used by you as a result of your participation in the Program will expire and be forfeited, and will not be redeemable for cash or any other form of compensation.

Restrictions

In addition to the other restrictions of these Program Rules, the following apply:

  • Each member of the Program must have a separate unique membership, which requires as part of the information requested at the time of Program enrollment, the member’s unique email address.
  • To receive credit (including points for Frequent Purchaser Rewards) for your Program participation, you must (a) log on as a Program member at the time of making purchases online at the Crocs website at www.crocs.com, or (b) provide your Program email address to a sales associate at the time of making payment for purchases at participating Crocs retail locations.
  • To redeem any earned rewards, you must follow the instructions set forth in these Program Rules and/or any communication of a reward by us to you to your Program email address.
  • Where rewards are provided in the form of a Crocs rewards code, the reward code may be subject to additional terms, conditions, limitations and restrictions (for example, restrictions regarding use for specific types of merchandise), which additional terms, conditions, limitations and restrictions, if any, will be set forth in these Program Rules, on the reward code or communication from us transmitting the reward code.
  • Only one (1) Program membership (i.e., one (1) Program email address) can be applied to a transaction and be eligible to redeem rewards or earn points and credit towards rewards.
  • Rewards are non-transferable, and non-assignable, and cannot be shared, transferred, assigned or sold, including to family members, friends or other Program members.
  • Unless we expressly provide otherwise, promotional offers received through the Program, including rewards, cannot be combined with any other offer, coupon or promotion, including any other promotional offers received by a member through the Program.
  • Rewards cannot be used for gift card purchases or applied to a prior purchase.
  • Program reward redemptions, redemption transactions and visits to www.crocs.com or participating Crocs retail or outlet location for redemptions do not count as qualifying transactions or visits for purposes of earning Program rewards.
  • Only qualifying purchases at www.crocs.com or participating Crocs retail locations are considered in the Program as qualifying transactions or visits for purposes of earning or redeeming any Program rewards.
  • Program members accept responsibility for keeping account details current and accurate.

How and When Membership May End

We reserve the right to cancel the Program and all rewards at any time. If you would like to cancel your Program membership and account you may do so at any time. If you decide for whatever reason to no longer participate in the Program, simply Contact Us here and we'll remove you from the Program and email listing. As soon as you cancel your Program membership and account, all points, rewards and benefits associated with your membership will be cancelled and forfeited; without limiting the foregoing, all rewards earned and not previously used will be cancelled and forfeited. If you decide you want to join again at a later date, you can do so at any time, subject to then applicable terms and conditions; provided, however, you cannot join the Program more than once during any twelve (12) month period.

We may cancel your Program membership and account if we determine that you are not eligible to be a member of the Program or that you have not complied with or have violated the Program Rules. We may cancel some or all of your earned points, rewards and benefits if we determine that you received the points, rewards or benefits due to an error, through fraud or deception, or in any manner not authorized by the Program Rules. As soon as your Program membership and account are cancelled, all points, rewards and benefits associated with your membership will be cancelled and forfeited; without limiting the foregoing, all rewards earned and not previously used will be cancelled and forfeited.

Limit on Liability

Crocs and its subsidiaries, affiliates, agents, promotion and advertising agencies, licensees, distributors, and their respective officers, directors, employees, shareholders, and successors, assigns, and service providers, are not responsible for any printing or computer error, omission, interruption, irregularity, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alteration of the Program information or materials or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of Program information.

By participating in the Program, each member accepts all responsibility for, and hereby releases and agrees to indemnify and hold harmless Crocs and its subsidiaries, affiliates, agents, promotional and advertising agencies, licensees, distributors, and each of their respective officers, directors, employees, shareholders, and successors, assigns, and service providers from and against any claims, liabilities, damages, or expenses that may arise from actions taken by such member and/or member’s participation in the Program, or for any harm or injury caused by any third party.

UNDER NO CIRCUMSTANCES SHALL CROCS, ITS SUBSIDIARIES, AFFILIATES, AGENTS, PROMOTION AND ADVERTISING AGENCIES, LICENSEES, DISTRIBUTORS, OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, SHAREHOLDERS, SUCCESSORS, ASSIGNS OR SERVICE PROVIDERS, BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE PROGRAM, EVEN IF ANY OR ALL OF THE FOREGOING OR ANY OF THEIR AUTHORIZED REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, THEREFORE SUCH EXCLUSIONS MAY NOT APPLY TO SOME MEMBERS. IF WE IMPROPERLY OR INADVERTENTLY DENY A MEMBER ANY REWARD, LIABILITY WILL BE LIMITED TO AWARD OF SUCH REWARD. EACH MEMBER WAIVES ANY AND ALL RIGHTS TO BRING ANY CLAIM OR ACTION RELATED TO SUCH MATTERS IN ANY FORUM BEYOND ONE (1) YEAR AFTER THE FIRST OCCURRENCE OF THE KIND OF ACT, EVENT, CONDITION OR OMISSION UPON WHICH THE CLAIM OR ACTION IS BASED.

ALL TERMS AND CONDITIONS OF THE PROGRAM, INCLUDING, WITHOUT LIMITATION, THE FOREGOING WAIVERS, LIABILITY LIMITATIONS AND INDEMNIFICATION OBLIGATIONS, ARE ACCEPTED BY, AND ARE LEGALLY BINDING ON, THE MEMBER BY VIRTUE OF THE MEMBER JOINING THE PROGRAM, WITHOUT ANY FURTHER ACTION ON THE PART OF THE MEMBER.

No Guarantee

Crocs does not represent or warrant the accuracy or completeness of the information contained in the Program Website or that the Program Website will be available to you 100% of the time.

Which State’s Law Controls

As a condition of participating in the Program, each member agrees that, except where prohibited by law, any and all disputes, claims and causes of action arising out of, or connected with, the Program shall be resolved individually, without resort to any form of class action, and solely and exclusively by a federal or state court located in Denver, Colorado, and each member submits to sole and exclusive personal jurisdiction to said courts in Colorado for any such dispute and irrevocably waives any and all rights to object to such jurisdiction. All issues and questions concerning the construction, validity, interpretation and enforceability of these Program Rules and a member’s rights and obligations, or the rights and obligations of Crocs in connection with the Program, shall be governed by, and construed in accordance with, the laws of the State of Colorado, without giving effect to any choice of law or conflict of law rules.

If any provision of these Program Rules is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remainder of these Program Rules, which will otherwise remain in full force and effect.

Interpretation

Crocs reserves the right to interpret and apply these Program Rules. All determinations by Crocs shall be final and conclusive in each case. Our failure to enforce any term of these Program Rules shall not constitute a waiver of that provision or any other provision of these Program Rules.

Changes to Program Rules

If we do change the Program Rules, then the revised Program Rules will be substituted. A member's continued participation in the Program constitutes the member’s acceptance of any changes to these Program Rules.

Other Programs

The Program is separate from any other promotional programs sponsored by Crocs or any of its affiliates, including, without limitation, email newsletters and any other loyalty or reward programs. Unless otherwise provided by Crocs or any of its affiliates, participation in each promotional program requires separate registration and participation in such program.
