Crocs, Inc. (“Crocs”, “our”, and “we”) would like your permission to use any ideas, concepts, or designs that you share with us for new or improved products, all as further described in the below terms. Please review the below terms ("Terms") to help you determine if you would like to submit any design ideas and grant us such permission.

“Designs” refers to all of the ideas, concepts, designs, photographs, images, illustrations, graphics, and other material that you upload, post, or otherwise submit to us with respect to potential new or improved Crocs products.

By uploading, posting or otherwise submitting to us any Designs, you acknowledge and agree to these Terms and you hereby grant to us and our subsidiaries, affiliates, and contractors, and their respective successors and assigns, a nonexclusive, fully paid, worldwide, perpetual, irrevocable, royalty-free, transferable license (with the right to sublicense through unlimited levels of sublicensees) to use, copy, modify, create derivative works of, distribute, publicly display and perform, publish, transmit, remove, retain, repurpose, promote, and commercialize the Designs for any and all purposes, including for the development, design, manufacture, offering for sale, and selling of Crocs products, whether now existing or hereafter developed, without obtaining additional consent, without restriction or notification, and without compensating you in any way, and to authorize others to do the same. You agree that Crocs will own all right, title, and interest in and to any products or services that it develops based upon or incorporating your Design submissions, including the final product designs and service offerings and all intellectual property rights therein.

In addition, you grant us the right to include your name and any names included with the Designs submitted and/or licensed by you; provided, however, we shall have no obligation to include such names with our use of such Designs. We are not responsible for the use or disclosure of any personal information that you voluntarily disclose in connection with the Designs that you submit or license to us. You represent and warrant that you are at least thirteen (13) years old and have all rights necessary for you to grant the licenses granted herein, including but not limited to the rights of publicity and privacy for any person featured in the Designs and the copyright and photographic rights in the Designs. Additionally, if parental permission is required to utilize the Designs, you represent and warrant that you are authorized to grant such permission and hereby do so.

You further irrevocably waive any “moral rights” or other rights with respect to attribution of authorship or integrity of materials regarding the Designs that you may have under any applicable law under any legal theory. Finally, you waive any and all claims against Crocs relating to copyright infringement and/or any invasion or misappropriation of the right of privacy or publicity and warrant that you own or are authorized to grant all rights and permissions granted herein.

Finally, you agree (i) that these terms supplement and are in addition to any other Terms of Use governing access to and use of our websites and (ii) that all applicable laws of the United States and/or the State of Colorado will govern these Terms and the submission of your Designs to Crocs.

If you do not own or have authorization to grant the rights and permissions described herein and/or do not want to grant Crocs such rights, do not upload, post, or otherwise submit any designs to Crocs.
